PRESS RELEASE

CONSOB has approved the Offer Document related to the voluntary tender offer launched by International Media Holding S.p.A. on maximum no. 403,937,789 ordinary shares of RCS MediaGroup S.p.A.

The acceptance period to the Offer will start at 8:30 a.m. on 20th June 2016 and will terminate at 5:30 p.m. on 15th July 2016 (both dates included, and save for extensions in compliance with applicable laws)

Milan, 10th June 2016 – International Media Holding S.p.A. ("International Media Holding") informs that CONSOB, with resolution no. 19627 of 10th June 2016, has approved, pursuant to article 102(4) of Legislative Decree of 24th February 1998, no. 58 (the "TUF"), the offer document related to the voluntary tender offer (the "Offer") launched by International Media Holding, pursuant to and for the effects of articles 102 and 106(4) of the TUF, on maximum no. 403,937,789 ordinary shares of RCS MediaGroup S.p.A. ("RCS").

The acceptance period of the Offer will start at 8:30 a.m. on 20th June 2016 and will terminate at 5:30 p.m. on 15th July 2016 (both dates included, and save for extensions in compliance with applicable laws).

The price of the Offer, equal to Euro 0.70 per each share of RCS tendered to the Offer, will be paid on 22nd July 2016 to those who accept the Offer (save for extensions in compliance with applicable laws).
