• Oggetto: comunicazione ai sensi dell'articolo 41, comma 2, lettera c), del Regolamento adottato dalla CONSOB con delibera n. 11971 del 14 maggio 1999 (il "Regolamento Emittenti").
• Con riferimento all'"Offerta pubblica di scambio totalitaria sulle azioni ordinarie di Mediobanca - Banca di Credito Finanziario S.p.A. promossa da Banca Monte dei Paschi di Siena S.p.A. dell'art. 102, comma 1, del Decreto Legislativo 24 febbraio 1998, n. 58" e premesso che:
• · Aurelia S.r.l. ("Aurelia") aderisce all'"Accordo di consultazione tra soci Mediobanca S.p.A. stipulato ai sensi dell'art. 122, del Decreto Legislativo 24 febbraio 1998, n. 58" ("Accordo di Consultazione") con n. 4.300.000 azioni ordinaria Mediobanca;
• · Aurelia è altresì titolare di azioni ordinarie Mediobanca non conferite all'Accordo di Consultazione ("Azioni Mediobanca Fuori Patto");

si comunica che:

Subject: Communication pursuant to Article 41, paragraph 2, letter c), of the Regulation adopted by CONSOB with resolution no. 11971 of May 14, 1999 (the "Issuers' Regulation").

With reference to the "Voluntary total public exchange offer on the ordinary shares of Mediobanca – Banca di Credito Finanziario S.p.A. promoted by Banca Monte dei Paschi di Siena S.p.A. pursuant to Article 102, paragraph 1, of Legislative Decree February 24, 1998, no. 58" and given that:

• Aurelia S.r.l. ("Aurelia") adheres to the "Consultation agreement between Mediobanca S.p.A. shareholders stipulated pursuant to Article 122 of Legislative Decree February 24, 1998, no. 58" ("Consultation Agreement") with no. 4,300,000 ordinary Mediobanca shares;
• · Aurelia also holds ordinary Mediobanca shares not contributed to the Consultation Agreement ("Mediobanca Shares Outside the Agreement");

we communicate that:
