TheManagement Board of Medicalgorithmics S.A. with its registered office inWarsaw (the "Company"; the "Issuer") informs that on September 23, 2025,it adopted a resolution on the conversion of series K ordinaryregistered shares into ordinary bearer shares (the "Resolution").Pursuant to the aforementioned Resolution, the Management Board of theCompany, acting pursuant to §5 section 4 sentence 2 of the Company'sArticles of Association and Article 334 §2 of the Code of CommercialCompanies, at the request of the Company's shareholder Biofund CapitalManagement LLC ("Shareholder"), converted 1,433,197series K registeredshares with a par value of PLN 0.10 each from ordinary registered sharesto ordinary bearer series K shares in the number of: 1,433,197.

Beforethe conversion, the K series shares were registered ordinary shares, andafter the conversion they became ordinary bearer shares belonging to theShareholder. The amount of the Company's share capital after theconversion remains unchanged and amounts to PLN 995,276.90. The totalnumber of votes at the general meeting of the Company after theconversion remains unchanged and amounts to 9,952,769.
