Dear Ladies and Gentlemen,
Acting pursuant to Art. 69 of the Act on Public Offering, A) Lacuna Vermögen GmbH, acting on behalf of Lacuna SICAV w/Lacuna Global Health (Lacuna Global), and B) Lacuna Investment-AG TGV, acting on behalf of Lacuna TGV Wachstum (Lacuna Wachstum) hereby notify that:
- in connection with the current report No. 54/2021 of Medicalgorithmics SA (ISIN PLMDCLG00015) (hereinatter: the Company) of December 15 2021 that it learned about the entry on December 15, 2021 by the District Court for the Capital City of Warsaw, XII The Commercial Division of the National Court Register, in the register of entrepreneurs of the share capital increase of the company within the amount of PLN 432,782.90 up to the amount of PLN 497,638.50 as a result of the issue of 648,556 ordinary bearer series H shares with a nominal value PLN 0.10 each, and
- in connection with the submission of an offer for subscription through private subscription within the meaning of Art. 431 § 2 point 1) of the Commercial Companies Code of the new series issue shares H by Lacuna Global on November 26, 2021 and its payment, entitling to the acquisition by Lacuna Global 35.875 (thirty-five thousand and eight hundred seventyfive) new series H shares; the securities in question have not yet been credited to the Lacuna Globals securities account, and
- in connection with the submission of an offer for subscription through private subscription within the meaning of Art. 431 § 2 point 1) of the Commercial Companies Code of the new series issue shares H by Lacuna Wachstum on November 26, 2021 and its payment, entitling to the acquisition by Lacuna Wachstum 55.125 (fifty-five thousand and one hundred
twenty-five) new series H shares; the securities in question have not yet been credited to the Lacuna Wachstums securities account.
The shares of Lacuna Global and Lacuna Wachstum in the share capital and the total number of votes in Medicalgorithmics S.A., before and after the above events, taking into account the rights to shares due from the subscription agreement for series H shares, are presented in the following tables.
