("Mears" or the "Company")

Additional Listing

Application has been made for the following shares to be admitted to the premium segment of the Official List of the Financial Conduct Authority, to trading on the Main Market of the London Stock Exchange and to trading on the ISDX Main Board:

·     An increase of 24,317 ordinary shares of 1p each in respect of an existing block listing for the Company's Unapproved share option plan;

·     An increase of 154,310 ordinary shares of 1p each in respect of an existing block listing for the Company's Long Term Incentive Plan;

·     An increase of 200,140 ordinary shares of 1p each in respect of an existing block listing for the Company's Approved share option plan; and

·     An increase of 936,878 ordinary shares of 1p each in respect of an existing block listing for the Company's Save As You Earn Scheme.

These shares will rank pari passu with the existing issued ordinary shares of the Company. Admission and trading in the ordinary shares is expected to commence on 17 July 2014.
