Notice of General Meeting

The following documents have today been posted or otherwise made available to shareholders:

·      Notice of the General Meeting ("GM") and a circular together with explanatory notes

·      Form of Proxy in respect of the GM

The single resolution to be proposed at the GM is for the approval of the Directors' Remuneration Future Policy contained in the Annual Report for the financial year ended 31 December 2013. This resolution is in addition to the advisory vote put forward at the Company's 2014 Annual General Meeting to approve the Directors' Annual Report on Remuneration (in terms of the payments and share awards made to Directors during the 2013 financial year in accordance with the Company's existing remuneration policy).

The GM Circular and Notice are also available on the Company's website at www.mearsgroup.co.uk.

The GM will be held immediately following the Annual General meeting on Wednesday 4 June 2014 at at the offices of Buchanan, 107 Cheapside, London, EC2V 6DN.
