Disposal of TerraQuest: Result of General Meeting and MHCLG Consent

Notification of Q4 trading update announcement date

Further to the Company's announcement on 6 November 2020, Mears is pleased to announce that at the General Meeting held today, the resolution to approve the disposal of TerraQuest Solutions Limited and its subsidiary undertakings (the "Disposal") was passed. Full details of the resolution are set out in the Notice of General Meeting dated 6 November 2020.

*As at the Voting Record Time there were 110,836,888 Mears Group shares in issue

In addition, Mears is pleased to announce that today the condition requiring consent from the Ministry of Housing, Communities & Local Government ("MHCLG") in relation to the Disposal has also been satisfied.  There being no further conditions to be satisfied, completion of the Disposal is expected to occur on or around 9 December 2020.

Mears also confirms that it will be announcing its scheduled Q4 trading update on Tuesday 8 December 2020.
