Item 8.01 Other Events.

On April 5, 2016, MDU Resources Group, Inc. (the "Company") issued a press release announcing its indirect wholly owned subsidiary, Fidelity Exploration & Production Company (“Fidelity”), has finalized the sale of its last marketed oil and natural gas production property on April 4, 2016. This completes the sale of the oil and natural gas assets marketed by Fidelity.
