Update to completion timetable - Sale of Highways Traffic Business Assets

MCS Services Limited (“the Company” or “MCS”) refers to the anticipated sale of the core business assets of its wholly owned subsidiary, Highways Traffic Pty Ltd (“Highways Traffic”), to Altus Traffic Pty Ltd (“Altus”) under an Asset Purchase Agreement (“Agreement”) between Highways Traffic and Altus (refer to ASX announcement dated 26 February 2026).

As at the date of this announcement, the conditions precedent to completion have not yet been satisfied or waived. The Company is working with Altus to satisfy the conditions precedent and proceed to completion.

Conditions precedent still to be completed are:

• Equipment inspection: inspection by Altus Traffic of the vehicle fleet and fixed assets of Highways Traffic (“Equipment”) and such Equipment remaining substantially in a condition consistent (fair wear and tear excepted) with that as at the inspection date carried out by Altus; and
• the Company using its best endeavours to transfer material contracts of the Highways Traffic business by way of novation to Altus.
