Directors Shareholding
In accordance and in fulfilment of our 4th February 2013 announcement the Company is pleased to announcement the issue of 3,546,932 ordinary shares of 1 pence each in the Company (the "Ordinary Shares") to the following M&C Saatchi directors:

Application has been made for the 3,546,932 Ordinary Shares to be admitted to trading to AIM, with trading expected to become effective on 13 June 2013 ("Admission"). Upon Admission, these Shares will rank pari passu in all respects with the existing Shares in issue, though are subject to a one year lock in.
Following Admission, the total number of Shares in issue will be 68,136,745, of which 700,000 Shares are held in treasury. Therefore, the total number of Shares with voting rights in issue will be 67,436,745.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
