MBB Industries AG: MBB Industries purchases DTS Systeme; Annualised turnover rises to over €200 million

Berlin, June 26, 2008. MBB Industries AG (ISIN DE000A0ETBQ4), a holding
company specialising in medium-sized industrial companies with sustained
value growth potential, has acquired an 80% stake in DTS Systeme, a company
based in Herford. The sellers of DTS Systeme were the management and the
DTS group. The remaining 20% will continue to be held by the general
managers, Kai Mallmann and Ulrich Möller. Both parties have agreed to
maintain silence regarding the selling price.
DTS Systeme is an IT infrastructure provider specialising in such fields as
IT security, storage, virtualisation, and data centres. The company offers
a wide variety of Internet services from its computer centre in the region
of East Westphalia-Lippe. It also maintains offices in the cities of Bochum
and Bremen. The business model comprises consultancy services, conceptual
design, procurement, and the implementation and operation of IT
environments.
DTS was founded in 1983. Today it employs 75 people and generates a
profitable annual turnover of more than €19 million. Over the past 25
years, DTS has become well established in the East Westphalia-Lippe region,
where it has developed into a market leader in the IT industry. It
maintains solid partnerships to both customers and suppliers (including
Preferred Partner GOLD status with Hewlett Packard and Microsoft).
By purchasing another medium-sized niche-market leader, MBB Industries is
continuing to pursue its successful acquisition strategy. The fact that
only a small number of providers among the competition supply the same
specific product range as DTS Systeme, coupled with the rising demand for
IT infrastructures and a business model that lends itself to other regions
are all reasons why in the opinion of the MBB management board, the new MBB
holding possesses solid conditions for sustained value enhancement. The
consolidation of DTS Systeme as of June 26, 2008 means that MBB Industries'
expected turnover will rise to more than €190 million for 2008. Annualised,
the MBB group and its now 1,850 employees generate a turnover of more than
€200 million. Existing liquidity will enable MBB Industries to conduct
further acquisitions even following the takeover of DTS Systeme.
