Dear Sir/ Madam,

With reference to the Regulation 1 0( 6) of SEBI (SAST) Regulations, 2011 , I, the undersigned, hereby furnish the report in the specified format in respect of post in ter-se transfer I transmission (resulting from a Will left behind by Late Mr. Sorab Mody, Promoter) of 3,56,000 equity shares from Mrs. Sheila Mody (Wife of Late Mr. Sorab Mody) constituting 8.89% of the total share capital of Mazda Limited being the Target Company ('TC').

This inter-se transfer I transmission of equity shares upon death of the promoter shareholder, falls within the exemption under Regulation IO(l)(g) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

The transferor Mrs. Sheila Mody (Wife of Mr. Sorab Mody) held 75,700 equity shares of TC before the transmission. As a joint account holder with Late Mr. Sorab Mody, depository has deposited, 7,53,026 equity shares to her Demat account. As per the Will of Mr. Sorab Mody 3,56,000 equity shares has been transferred I transmitted to me , 1,97,026 equity shares has been transferred I transmitted to Mrs. Shanaya Mody Khatua (daughter of Mr. Sorab Mody) and 2,00,000 equity shares were retained by Mrs. Sheila Mody.

I have become member of the Promoter Group as per the Regulation 31A (6) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 due to transmission of shares of Late Mr. Sorab Mody, Promoter of the TC as per his Will.
