Item 8.01. Other Events.

On April 30, 2015, MaxLinear, Inc. (“ MaxLinear ”) issued a press release announcing the completion of its previously announced acquisition of Entropic Communications, Inc. (“ Entropic ”), pursuant to that certain Agreement and Plan of Merger and Reorganization, dated as of February 3, 2015, by and among Entropic, MaxLinear, Excalibur Acquisition Corporation, and Excalibur Subsidiary, LLC. The press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.
