In terms of the Regulation 30 of the Securities and Exchanges Board of India (Listing Obligations and Disclosures Requirements) Regulations, 2015, the Stock Exchange is hereby informed that the Board of Directors of the Company vide its Resolutions by Circulation dated 31.5.2021 approved the followings:

- Appointment of Mr. Ravinder Singh Bedi (DIN:01408189), Non-Executive and Independent Director of the Company as the Chairman of the Board.

- Co-option of Mr. Krishna Shriram (DIN-00031783) as an Additional Director (Non-Executive and Non-Independent) on the Board of Directors of the Company w.e.f.31.5.2021 till the next Annual General Meeting of the Company.
Pursuant to Exchange Circular No.LIST/COMP/14/2018-19 dated June 20, 2018 regarding 'Enforcement of SEBI Orders regarding Appointment of Directors by Listed Companies', the Board of Directors of the Company affirm that Mr. Krishna Shriram (DIN-00031783) is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.
The required details pursuant to the SEBI Listing Regulations are annexed herewith as Annexure-I.
