Masterflex AG acquires remaining shares of two of it’s subsidiaries

Gelsenkirchen-based Masterflex AG (ISIN DE 0005492938) has exercised its call option and acquired the remaining 49.98% in DICOTA GmbH, Bietigheim-Bissingen, and the remaining 30% in Novoplast Schlauchtechnik GmbH, Halberstadt. The parties to the transactions agreed not to disclose the purchase price in both cases. DICOTA GmbH, which has been part of the Masterflex Group since August 2001, is one of the top suppliers worldwide in the mobile office segment, i.e. mobile computing equipment. Since then, DICOTA has developed extremely successfully, with annual double-digit revenue and earnings growth. The mobile office segment is set to expand in the future: studies show that in 2004, the market for computers and notebooks grew by 11.8%. The Board of Masterflex AG therefore sees substantial growth potential for the further successful development of its subsidiary. Masterflex AG has acquired the 30% interest in Novoplast Schlauchtechnik GmbH from the company’s long-standing managing directors, one of whom is retiring. Novoplast Schlauchtechnik GmbH is the oldest subsidiary in the Masterflex Group, having joined in 1991. It is a successful producer of high-tech hose systems. The medical technology area was expanded substantially over recent years. Medical hoses and components are produced on one of Europe’s most advanced micro-extrusion systems.
