Sub: Outcome of the meeting and allotment of 42,35,294 equity shares pursuant to the Order dated September 14, 2021 of the Hon’ble National Company Law Tribunal, Ahmedabad Bench (“NCLT”) Ref: Regulation 30 of the SEBI (Listing Obligation and Disclosures Requirements) Regulations, 2015.

This is to inform you that the NCLT vide its Order dated September 14, 2021 (“Order”) approved and sanctioned the Scheme of Arrangement (“Scheme”) amongst Evolutionary Systems Private Limited (“ESPL”), Trans American Information Systems Private Limited (“TAISPL”) and Mastek Limited (“Mastek” or “The Company”) and their respective Shareholders and Creditors pursuant to Section 230 to 232 of the Companies Act, 2013 read with Companies (Compromise, Arrangements and Amalgamations) Rules, 2016.

To effectuate and implement the Scheme, the Board of Directors of the Company approved the allotment of 42,35,294 (Forty Two Lakhs Thirty Five Thousand Two Hundred and Ninety Four) equity shares of Rs. 5 (Indian Rupees Five) each fully paid aggregating Rs. 2,11,76,470 (Two Crores Eleven Lakhs Seventy-Six Thousand Four Hundred and Seventy) to the Shareholders of ESPL whose names are appearing in the Register of Members of ESPL as on the Record date i.e., September 17, 2021 and also appointed Mr. Sunil Kothari as the trustee for issuance of fractional shares of Mastek Limited in accordance with Para 11 of the Scheme.
