Sub: Intimation of sad demise of Mr. Sudhakar Ram, Vice President and Managing Director Ref: Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015.

It is with profound sadness that Mastek Limited announces the sudden demise of its Vice Chairman & Managing Director Mr. Sudhakar Ram, following a short illness today, November 8, 2020.

Mr. Ram was one of the Co-founders Director and played crucial leadership roles through his long career at Mastek and its Group entities. Mr. Ram was on the Board of the Company since 1985 and the Company has immensely benefitted from his vision and leadership during his tenure.

Mr. Ram’s sudden and unexpected passing away will be an irreparable loss to the Company, and all the directors and employees of the group convey deep sympathy, sorrow and condolences to his family.

Further, the members of the Board of the Company met virtually tonight and based on the recommendation of the Nomination and Remuneration Committee, decided to appoint Mr. Ashank Desai (DIN 00017767), presently a director on the Board who is a promoter director and also former Chairman and Managing Director of the Company as “Vice-Chairman and Managing Director” with immediate effect for a period of 5 (five) years, subject to shareholders approval of the Company.
