Item 8.01. Other Events.

On May 8, 2014, Masimo Corporation (“Masimo”) announced that it and certain of its current and former employees had received grand jury subpoenas from the United States Attorney’s Office for the Central District of California (the “USAO”) in connection with an investigation relating to Masimo’s Pronto ® and Pronto-7 ® products.

On May 7, 2015 , Masimo received a letter from the USAO stating that, at this time, the USAO has decided not to initiate any criminal charges against Masimo or any of its current or former employees in connection with the investigation. The USAO reserved the right to revisit its decision at any time.
