Item 2.02. Results of Operations and Financial Condition.

On July 21, 2015 , Masimo Corporation (the “Company”) issued a press release announcing certain preliminary financial results for the quarter ended July 4, 2015. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The preliminary financial information presented in this press release is based on the Company’s current expectations and may be adjusted as a result of, among other things, completion of customary quarterly review procedures. The Company’s management plans to discuss the Company’s complete second quarter 2015 financial results after the market closes on Tuesday, August 4, 2015.
