Announcement on the Opening of Nomination For Membership of the Board of Directors

The Company’s board of directors is pleased to inform the shareholders and public whom is interested, of the opening of Nomination for the board of directors membership during the period from Thursday18/03/2021 to Sunday 28/03/20121 2021.any person who meets the condition of nomination for the board membership may nominate himself/herself for the membership by an application to be submitted to the management of the Company the application shall enclose an introductory profile of the applicant and the capacity of membership for which She/He wishes to nominate himself (independent director/non-Independent director).

General Conditions:

1. The number of members to be elected to the

Board of directors is 7members

2. Nomination for board membership shall remain Open for period of at least (10) days from the date of the announcement in accordance with The requirements of article (9) of the chairman of Authority’s board of director’s decision no (3/chairman) Of 2020 concerning joint stock companies governance Guide and as amended from time to time

3. Whoever nominates him/herself for membership to theبBoard shall satisfy the condition set forth in the federal law no (2) of 2015 regarding commercial companiesبandبtheبchairmanبofبauthority’sبboardبofب directors decision no (3/chairman) of 2020 concerning joint stock companies governance guide and the Central Bank of the UAE circular no 83/2019 on the corporate governance regulation and standards for banks and the articles of association of the company as amended from time to time

4. The nomination application shall contain the documents referred to in Article (10) of the Chairman of Authority’sبBoard of Directors' Decision no. (3/Chairman) of 2020 concerning Joint Stock Companies Governance Guide and as amended from time to time,

5 . The candidate may not, after closing the nomination, relinquish her/his nomination to another person. No application will be accepted after closing the nomination

6 . The Company will publish the list of names and nomination data of the candidates on the Company's Website www.mashreq.com after receiving the Central Bank of the UAE's approval and not later 2 days before the Annual General Assembly of the Shareholders

7 . The Securities and Commodities Authority shall be provided with a list of the candidates' names after closing the nomination.
