Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Donald J. DeMarie, Jr., Executive Vice President and Chief Operating Officer of Masco Corporation (the “Company”), has left the Company to pursue other opportunities, effective November 4, 2011. The Company and Mr. DeMarie are working together to assure a smooth transition following Mr. DeMarie’s departure.
