Today, Marenave Schiffahrts AG ( Marenave or Company ) was informed by Deutsche Balaton AG, Heidelberg, that Deutsche Balaton AG has increased its stake in the Company to 51,69% of the voting rights after having purchased further shares. Therefore, Deutsche Balaton AG has gained control over the Company according to Sec. 35 para. 1 sentence 1 WpHG in conjunction with Sec. 29 para. 2 WpÜG.
Deutsche Balaton AG intends to render a mandatory tender offer to the Company’s other shareholders. The Company refers to Deutsche Balaton AG’s corresponding publication on its website www.deutsche-balaton.de/news/kontrollerlangung-marenave/.
As a result, the Company may as of today no longer readily assume that a strategy directed to reimplement its maritime corporate purpose will be implemented.
*On the basis of statements by Deutsche Balaton AG made previously to and on the occasion of the Company’s shareholders’ meeting of January 29, 2018, the Company’s Board of Directors now assumes that Deutsche Balaton AG will for the time being prefer a focus on the concept of a listed shell company.
