Share Purchase Plan Notice under ASIC Class Order 09/425

In accordance with ASIC Class Order 09/425 ( CO 09/425 ), Marmota Energy Limited ( Company ) gives notice that:

1. It will make offers to issue shares under a share purchase plan ( SPP ) without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Corporations Act );

2. this notice is being given by the Company in accordance with ASIC Class Order (CO 09/425);

3. as at the date of this notice, the Company has complied with:

   • 3.1 the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • 3.2 section 674 of the Corporations Act; and

4. as at the date of this notice, the Company confirms that there is no information that is excluded information (as defined in section 708A(7) and (8) or 1012DA(7) and (8) of the Corporations Act) which is required to be disclosed by the Company.

This notice is dated 5 September 2016 and is given to the ASX in the 24-hour period before the offer under the SPP is made by the Company.
