Purpose of the Report	:	Pursuant to Article 33 titled " Explanations on Use of Proceeds Obtained From Capital Increases " of the Communiqué on Shares (VII-128.1) issued by the Capital Markets Board ("Board"), in capital increases with rights issue by publicly held companies, it is mandatory to prepare a report on the intended use of the funds to be raised, to have this report approved by the board of directors, submitted to the Board, and disclosed to the public. This report has been prepared in accordance with the relevant article.

Capital Increase Amount	:	The nominal increase amount will be determined in a way that approximately TL 1,600,000,000 in total funds will be provided to the Company.

Use of Funds to be Obtained	:	The entire amount of approximately TL 1.6 billion to be raised from the capital increase will be used for the same purpose as the approximately TL 1.2 billion fund obtained from the capital increase allocated to our main shareholder Koç Holding A.Ş. in 2023. The funds will be used in the construction of Divan Talya Hotel and the renovation of the Conference Center in the Muratpaşa district of Antalya, with the aim of completing and putting the hotel into operation.
