Issue of Equity and Total Voting Rights

Marlowe, the UK leader in business-critical services and software which assure regulatory compliance, announces that, following the achievement of profit targets in respect of the Group's 2020 acquisition of Elogbooks Facilities Management Limited and Elogbooks Facilities Services Limited (together with their subsidiaries, "Elogbooks"), final contingent consideration of £3.5m, including the issue of 93,016 new ordinary shares of 50 pence each in the Group (the "New Ordinary Shares") at an effective issue price of 1025 pence per ordinary share, will be payable by the Group in respect of the Acquisition.

Application has been made for 93,016 New Ordinary Shares to be admitted to trading on AIM ("Admission"). The New Ordinary Shares will rank pari passu with the Group's existing ordinary shares, and it is expected that Admission will occur at 8.00am on 27 January 2022.

Following Admission, the Company's issued ordinary share capital will comprise 95,833,853 ordinary shares, none of which are held in treasury. Therefore, the total number of ordinary shares with voting rights in Marlowe following admission will be 95,833,853 ordinary shares.

The above figure of 95,833,853 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
