Change of Auditor

Marlowe plc ("Marlowe", the "Group" or the "Company"), the UK leader in business-critical services and software which assure safety and regulatory compliance, announces that it intends to appoint RSM UK Audit LLP ("RSM") as the Group's new external auditor ("the Appointment").

RSM will conduct the audit of the Group's financial statements for the financial period to 31 March 2023. The appointment will now be referred to Marlowe's shareholders at the General Meeting of the Company on 14 September 2022.

Subsequent to being notified of the Company's intention to change auditor, Grant Thornton UK LLP, the Company's outgoing auditor, agreed to resign by notice to the Group under section 516 of the Companies Act 2006 and has confirmed that there are no matters connected with their resignation which they consider need to be brought to the attention of the members or creditors of the Group for the purposes of section 519 of the Companies Act 2006.
