This is to inform you that pursuant to the special resolutions passed by the shareholders of the Company at their AGM held on September 24, 2024 & August 8, 2025 and the in-principle approval granted by the BSE Limited and National Stock Exchange of India Limited on September 17, 2025 & September 18, 2025, respectively, the Nomination and Remuneration Committee (the designated Compensation Committee) of the Company has, today i.e., May 25, 2026, approved grant of 3,00,000 (Three Lakh) Stock Options to certain eligible employees of the Company and its subsidiaries under Marksans Employees Stock Option Scheme 2024.
The disclosure as required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular Bearing Ref. No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July, 2023 with respect to the ESOP is enclosed herewith as Annexure-A.
