NOTICE OF CANCELLATION BY MARKS AND SPENCER PLC

(the Issuer)
of its £250,000,000 Puttable Callable Reset Notes due 2037
(ISIN: XS0335844402) (the Notes)
issued under the £3,000,000,000 Euro Medium Term Note Programme

NOTICE IS HEREBY GIVEN that, in accordance with the provisions of the Notes the Issuer has purchased all of the outstanding Notes and wishes to exercise its option to cancel all of the issued and outstanding Notes on 15 February 2013 (the Cancellation Date). Interest on the Notes shall cease to accrue from and after 15 February 2013. The listing of the Notes on the London Stock Exchange's regulated market will also be cancelled on the Cancellation Date.
