Item 5.07. Submission of Matters to a Vote of Security Holders.

The 2012 Annual Meeting of Shareholders of Marine Products Corporation (the “Company”) was held on April 24, 2012. At the Annual Meeting, the shareholders of the Company (i) elected four Class II nominees to the Board of Directors, and (ii) ratified the appointment of Grant Thornton LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2012. The voting results for each proposal are as follows:
