The Plan is designed to encourage participants to contribute to the success of the Company; recognize and reward performance; and retain skilled personnel critical for the growth of the Company. RSUs represent a right to receive shares after meeting specific conditions, such as service tenure or performance goals. Eligible participants include directors, executive officers, employees, and consultants. RSUs are subject to vesting conditions determined at the time of grant. Accelerated vesting may occur in cases like a Change of Control. When there is a Termination of Employment for Cause, all unvested RSUs are forfeited immediately; without Cause or by Resignation, unvested RSUs are forfeited upon resignation; Death or Disability: Vested awards may be exercised by the participant or their estate within six months. The Board may amend or terminate the Plan, but requires shareholder approval for major changes, such as increasing the share limit.
