Sub.: Allotment of �Yiy shares under the Marico Employee Stock Option Plan,_20�6�("ESOP 2016�)
This is to inform you that the Securities Issue Committee of the Board of Directors of the Company vide a resolution passed by circulation on March 191 2020, has issued and allotted 24,290 equity shares of face value of Re. 1 each of the Company under Scheme Ill of ESOP 2016 to the eligible grantees under the said Plan, pursuant to exercise of stock options granted thereunder.
Consequent to the aforesaid allotment, the paid up share capital of the Company has increased as under:

In terms of Regulation 10(c) of the SEBI (Share Based Employee Benefits) Regulations, 2014 (SEBI SBEB Regulations), the details of shares allotted as above are given in Annexure A to this intimation. Further, this intimation is in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, however, we wish to clarify that aforesaid allotment of shares is not material in nature to the Company.
