Sub.: Scheme of Amalgamation between Marico Consumer Care Limited and Marico Limited and their respective shareholders and creditors (‘Scheme’)

Dear Sir / Madam,

This is with reference to our letter dated July 16, 2020, informing you about the decision of the Board of Directors (‘Board’) of the Company approving the Scheme, subject to the receipt of requisite statutory/ regulatory approvals including the approval of jurisdictional National Company Law Tribunal (‘NCLT’).

In this regard, we wish to inform you that the final hearing for the Scheme was conducted by the NCLT through video conferencing on December 2, 2020. An Interim order stating that the petition is allowed was made available on the website of the NCLT on December 4, 2020. Interim order as uploaded on their website is attached herewith for your record. The detailed order of the NCLT is awaited.

Appointed date of the Scheme is April 1, 2020. The Scheme will be effective upon filing of certified copy of the NCLT order by the Company and Marico Consumer Care Limited with the Registrar of Companies, Mumbai.
