MARE GROUP: "GOLDEN POWER" CLEARANCE FOR THE ACQUISITION OF RACK PERUZZI

Mare Group S.p.A. (ticker MARE.MI), an engineering company listed on Euronext Growth Milan and active in Italy and abroad in innovation through enabling technologies ("Mare Group" or the "Company"), announces that, with reference to the acquisition of Rack Peruzzi S.r.l., announced on May 27, 2025, it has received from the Presidency of the Council of Ministers, on November 3, 2025, the official communication of non-exercise of the "Golden Power" prerogative, as the transaction does not fall within the scope of application of Decree-Law No. 21 of March 15, 2012.

Since the issuance of the governmental authorization constituted a suspensive condition for the completion of the transaction, the Company can now proceed with the finalization of the closing, expected by the end of 2025, subject to the fulfillment of the remaining procedural requirements.

Rack Peruzzi, a historic Piedmontese company with over fifty years of experience, operates in the design and production of high-security precision systems for the protection of critical assets and for the Aerospace & Defense sector.

Mare Group continues its path of integrating specialized expertise and enhancing its execution capacity in complex projects, further strengthening its High-Tech Engineering Hub.
