PRESS RELEASE PURSUANT TO ARTICLE 102(3) OF THE CFA AND ARTICLE 37-TER OF THE ISSUERS' REGULATION
MARE GROUP: FILING OF THE OFFER DOCUMENT WITH CONSOB

Mare Group S.p.A. (ticker MARE.MI), an engineering company listed on Euronext Growth Milan and active in Italy and abroad in innovation through enabling technologies ("Mare Group", the "Company" or the "Offeror"), announces, with reference to the voluntary Public Tender Offer for all the shares of Eles Semiconductor Equipment S.p.A. ("Eles" or the "Issuer") (the "Offer"), that today it submitted to the Italian Securities and Exchange Commission ("Consob"), pursuant to Article 102(3) of the Consolidated Financial Act (the "CFA") and Article 37-ter of Consob Regulation No. 11971/1999, as subsequently amended and supplemented (the "Issuers' Regulation"), the related offer document intended for publication (the "Offer Document").
The Offer Document will be published upon completion of Consob's review pursuant to Article 102(4) of the CFA.
Pending publication of the Offer Document, reference is made to the press release issued by the Offeror on 6 October 2025 pursuant to Article 102(1) of the CFA and Article 37(1) of the Issuers' Regulation (the "102 Notice") and published in the dedicated section of Mare Group's website https://www.maregroup.it/investor-relations/ as well as to subsequent press releases relating to the Offer, which set out the assumptions, conditions, terms and key elements of the Offer.
The 102 Notice must be read together with the press release issued by the Offeror on 23 October 2025 and published in the dedicated section of Mare Group's website https://www.maregroup.it/investor-relations/, regarding the consideration payable for each Eles share tendered to the Offer, originally equal to Euro 2.25 and increased to Euro 2.61.
