MARE GROUP: NOMINATIONS FOR THE ELES SHAREHOLDERS' MEETING
Requests sent for updates to proxy forms and verification of shareholders' entitlement to vote.
Salerno, February 23, 2026
Mare Group S.p.A. (ticker MARE.MI), an engineering company listed on Euronext Growth Milan and operating in Italy and abroad in innovation through enabling technologies ("Mare Group", the "Company"), as a shareholder of Eles Semiconductor Equipment S.p.A. ("Eles"), with reference to the Shareholders' Meeting called for 2 March 2026 on first call and, if necessary, 3 March 2026 on second call (the "Meeting"), announces:
- that on 20 February 2026 it submitted to Eles, through its legal counsel, a formal request addressed to the Chairman of the Board of Directors and the Chairman of the Board of Statutory Auditors, urging that the checks concerning shareholders' entitlement to attend and vote at the Meeting be carried out with the utmost care, also with specific reference to the so called "Golden Power" rules (Law Decree No. 21/2012);
- that today it sent to Eles a request to update the forms for granting the proxy and voting instructions to the Designated Representative, so that shareholders may provide clear voting instructions on all items on the agenda, including those added by way of integration;
- that, following the request to supplement the agenda of the Meeting disclosed by press release dated 17 February 2026, it identified the nominations to be submitted to Eles for the appointment of three additional independent directors and for the replacement of the independent director previously co-opted by the board of directors.
In particular, Mare Group identified the following individuals as new independent directors to be proposed:
- Mauro Girardi, a professional with over thirty years of experience in finance and corporate governance, with senior positions in listed and regulated companies and consolidated expertise in extraordinary transactions and corporate restructurings.
- Federico Albini, a chartered accountant and statutory auditor, with many years of experience in corporate, accounting and financial reporting matters, as well as numerous appointments to control bodies and boards of statutory auditors of companies listed on Euronext Growth Milan.
- Silvio Cosoleto, a manager with many years of experience in the technology and industrial sectors, with senior roles in companies active in ICT, complex systems and high-tech services. He has developed specific expertise in industrial integration, governance and organisational development in contexts of growth and business transformation.
Lastly, with reference to the agenda item concerning the confirmation or replacement of the independent director co-opted by the board of directors, Alessandro Violante, Mare Group identified the following candidate to be proposed::
- Alfonso Cefaliello, a manager with extensive experience as CFO, CEO and director in industrial and services groups, with specific expertise in finance, management control, M&A and governance of listed companies.
