We refer to our clarification letter dated March 19, 2025 wherein it was informed that Marathon Realty Private Limited (MRPL), one of the Promoters of the listed entity, Marathon Nextgen Realty Limited (MNRL), has simply given an NDU and has not pledged its shareholding in MNRL and there was no pledge of any shares held by the Promoters in MNRL.

Further to that, we are happy to inform that the aforesaid NDU on certain shares held by MRPL has also been released on July 23, 2025.

Pursuant to Regulation 31(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, please find attached disclosure in the prescribed format related to release of non-disposal undertaking (NDU) on Equity shares of Marathon Nextgen Realty Limited.

We request you to update your records accordingly wherever required.
