Sub: Outcome of the meeting of the Operations Committee

• Re: Qualified Institutions Placement (the “QIP”) of equity shares of face value of ₹ 5 each (the “Equity Shares”) by Marathon Nextgen Realty Limited (the “Company): Disclosure of the details of allotment in the Issue

In furtherance to our earlier intimations dated June 23, 2025 and June 30, 2025 with respect to the Issue which opened on June 23, 2025 and closed on June 30, 2025, we wish to inform you that the Operations Committee of the Company at its meeting held today, i.e. July 1, 2025, approved the allotment of 1,62,12,406 Equity Shares, to eligible QIBs at the issue price of ₹ 555.13 per Equity Share (including a premium of ₹ 550.13 per Equity Share, (which includes a discount of ₹ 29.21 i.e., 5% of the floor price of ₹ 584.34, as determined in terms of SEBI (ICDR) Regulations, aggregating to approximately ₹ 900 Crores (Rupees Nine Hundred Crores only), pursuant to the QIP Issue.

Pursuant to the allotment of Equity Shares under the QIP, the paid-up equity share capital of the Company stands increased from ₹ 25,60,40,700 consisting of 5,12,08,140 Equity Shares to ₹ 33,71,02,730 consisting of 6,74,20,546 Equity Shares. The shareholding pattern of the Company before and after the Issue, will be submitted along with listing application in the format specified in Regulation 31 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The Issue opened on June 23, 2025 and closed on June 30, 2025 and the same was intimated to you through our letters dated June 23, 2025 and June 30, 2025, respectively.

Further, please find attached herewith the list of allottees who have been allotted more than 5% of the Equity Shares offered in the Issue, marked as Annexure A .

The information as required under Regulation 30 of SEBI Listing Regulations read with Schedule – III part- A to the SEBI Listing Regulations and SEBI circular no. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, each as amended is as follows:
