This is to inform you that, a meeting of the Board of Directors of Marathon Nextgen Realty Limited (‘Company’) is scheduled on Monday, March 31, 2025, inter alia, to transact the following businesses;

1. To consider the prospects of a potential consolidation of business by various modes or any form of reorganisation of the Company to achieve synergies, higher efficiencies and to accelerate growth.

2. Any other matter as the Board may deem fit.

Further in accordance with the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015 including amendments if any, and as per the Company’s "Code of Conduct', the trading window for dealing in the securities of Marathon Nextgen Realty Limited (‘Company’) shall remain closed for the Designated Persons/ Insiders / Employees and their immediate relatives from 27[th] March, 2025 till completion of 48 hours from the declaration of Audited Financial Results for the quarter and year ended March 31, 2025.

Accordingly, all Designated Persons/ Insiders / employees and their immediate relatives have been informed not to trade in the securities of the Company during the aforesaid period of closure of Trading Window.

The date of Board Meeting for declaration of the Audited Financial Results for the quarter and year ended March 31, 2025 will be intimated in due course.
