Pursuant to Regulation 29 of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015, this is to inform you that, the meeting of the Board of Directors of Marathon Nextgen Realty Limited (“The Company”) will be held on Monday, November 11, 2024 inter alia to transact the following business;

1. To consider and approve the proposal for enhancing the limit of raising funds beyond Rs.500 Crores (earlier approved by the Shareholders through Postal Ballot dated July 28, 2024) by way of issuance of equity shares, eligible securities or any other securities through inter alia, Qualified Institutions Placements (QIP) to one or more Qualified Institutional Buyers (QIBs) or further public issue of equity, debt securities, preferential issue or a private placement or a rights issue or through any other permissible mode and/or combination thereof, subject to approval of the Shareholders and such other statutory/regulatory approvals, if applicable and to approve the Shareholders notice in this regard.

2. To consider and approve the Unaudited Financial Results of the Company (Standalone and Consolidated) for the quarter and half year ended September 30, 2024.

3. Any other matter as the Board may deem fit.

Further to our intimation dated September 30, 2024, the Trading Window for dealing in the securities of the Company which was closed for the designated persons of the Company and/ or their immediate relatives with effect from Tuesday, October 1, 2024 and will remain closed till Wednesday, 13[th] November, 2024.
