Prospectus Supplement
On 12th June, 2000, subsequent to the printing of the prospectus dated 13th June, 2000 and issued by China Unicom Limited ("China Unicom") in connection with the Hong Kong Public Offering (the "Prospectus"), China Unicom entered into an agreement with Vodafone AirTouch plc ("Vodafone AirTouch") in relation to possible co-operations in the areas of roaming and mobile
technology ("the Agreement").
China Unicom is issuing this prospectus supplement pursuant to rule 11.13 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited to provide information
on the Agreement and should be read in conjunction with the Prospectus. Terms defined in the Prospectus shall, unless the context otherwise requires, have the same meaning in this
document.Pursuant to the Agreement:
(a) Vodafone AirTouch agreed to use commercially reasonable efforts to cause its controlled affiliate companies to consider and evaluate the merits of entering into standard non-exclusive
roaming agreements with China Unicom and its affiliate companies.
(b) China Unicom agreed to consider and evaluate the merits of entering into standard roaming agreements with Vodafone AirTouch's affiliate companies.
(c) The parties also agreed to engage in future discussions regarding possible collaboration and cooperation in the areas of mobile technology and operations. Such collaboration and co-operation are expected to be carried out within the regulatory framework of the People's Republic of China and in accordance with the market opening schedules in China's accession to the World Trade Organisation ("WTO"). The parties further agreed to consider possible future mutually acceptable
joint venture or partnership relationship in China. If formed, any such joint ventures or partnerships would be established according to relevant Chinese laws and regulations.
(d) Neither party is restricted under the Agreement from entering into similar agreements with other entities or persons nor does the Agreement commit the parties to enter into future
contractual arrangements.
Unicom is an integrated telecommunications operator, providing cellular, paging, domestic and international long distance and data and Internet services. Unicom may continue to strengthen
relationships with leading telecommunications service providers for mutual benefit.
Vodafone AirTouch has cellular businesses in Europe, the Americas and Asia, and is an innovator in the field of wireless data. Vodafone AirTouch is a public limited company organized under the laws of England.
