MED BIOGENE INC. ANNOUNCES ACQUISITION OF UNITS BY CEO AND CHAIRMAN

Vancouver, British Columbia – April 27, 2020 – Med BioGene Inc. ( " MBI " or the " Company") (TSXV: MBI) is pleased to announce that the Company's chief executive officer and chairman of the board of directors, Iain Weir-Jones, has increased his holdings in MBI through an acquisition of 1,200,000 units of the Company (each a " Unit ") from Samantha Gordey (the " Acquisition "). Each Unit is comprised of one common share in the capital of the Company (each a " Common Share ") and one Common Share purchase warrant (each a " Warrant ").

Early Warning Disclosure

Iain Weir-Jones acquired ownership of 1,200,000 Units pursuant to the Acquisition. Immediately before the Acquisition, Mr. Weir-Jones held 877,452 Common Shares representing approximately 6.62% of the issued and outstanding Common Shares. Prior to the Acquisition, Mr. Weir-Jones also held 690,000 options to purchase Common Shares and 189,000 Warrants for the purchase of an additional 189,000 Common Shares, or approximately 12.42% of the Company’s then issued and outstanding share capital assuming no other Common Shares of the Company are issued. Immediately after the Acquisition, Mr. Weir-Jones held 2,077,452 Common Shares representing 15.70% of the issued and outstanding Common Shares. Mr. Weir-Jones also holds 690,000 options to purchase Common Shares and 1,389,000 Warrants for the purchase of an additional 1,389,000 Common Shares. Assuming the exercise of the options and Warrants, Mr. Weir-Jones would own a total of 4,156,452 Common Shares, or approximately 27.10% of the Company’s then issued and outstanding share capital assuming no other Common Shares of the Company are issued. Mr. Weir-Jones acquired the Units for investment purposes. Mr. Weir-Jones intends to evaluate his investment in the Company and to increase or decrease his shareholdings from time to time as he may determine appropriate.

Samantha Gordey disposed of 1,200,000 Units pursuant to the Acquisition. Immediately before the Acquisition, Ms. Gordey held 1,200,000 Common Shares representing approximately 9.05% of the issued and outstanding Common Shares and 16.60% of Common Shares issued and outstanding assuming the exercise of the 1,200,000 Warrants and assuming no other Common Shares of the Company are issued. Immediately after the Acquisition, Ms. Gordey did not own any securities of the Company. Ms. Gordey disposed of the Units for investment purposes.
