MANUKA RESOURCES LTD - GENERAL MEETING OR SHAREHOLDERS

Dear Shareholder,

I am pleased to invite you to attend a general meeting of shareholders (Shareholders) of Manuka Resources Limited ACN 611 963 225 (Company) that will be held at 10:00 am (Sydney time) on Tuesday, 5 April 2022 as a virtual meeting via live webinar conferencing facilities (Meeting).

In accordance with the COVID-19 guidelines provided by the Commonwealth and State governments, the Federal Treasurer has issued a Determination that permits companies to hold fully virtual general meetings. To protect the health and safety of our Shareholders and staff, and to allow for Shareholders who wish to attend the Meeting, we will hold a fully virtual Meeting, which means there will not be a physical venue for you to attend.

In accordance with the modifications to the Corporations Act provided under the Treasury Laws Amendment (2021 Measures No. 1) Act 2021 (Cth), the Notice, this Explanatory Memorandum and the Proxy Form are being made available to Shareholders electronically.

Accordingly, the Notice of Meeting will not be mailed to Shareholders. All Shareholders will be able to access the Notice of Meeting (including the Proxy Form) and the Online Meeting Guide on the Company’s website at: www.manukaresources.com.au/site/meeting . The Company has also provided the meeting materials on the Company’s ASX announcements page or from the ASX announcements website (www.asx.com.au).

Your participation in the Meeting is important to us. The Meeting will be webcast live via Manuka’s share registry online platform. You will be able to listen to the proceedings, ask questions of the Board and vote in real-time. You may attend the Meeting online using your computer, your mobile phone or device.

In order to access the Automic online platform at investor.automic.com.au , Shareholders should login with their username and password or click ‘register’ if you haven’t already created an account. Shareholders are encouraged to create an account prior to the start of the meeting to ensure there is no delay in attending the virtual meeting. Further information on how to participate in the Meeting is provided in the Notice of Meeting, and in the Online Meeting Guide, which you can access online on the Manuka website on the link provided above.

If you will not be able to attend the Meeting online at the scheduled time, you can participate in the Meeting by appointing a proxy to attend and vote live at the Meeting. If you intend to appoint a proxy, please lodge a proxy vote online at https://investor.automic.com.au/#/loginsah by 10:00am (Sydney time) on Sunday, 3 April 2022. Alternatively, you can lodge your signed and directed proxy by mail or fax in accordance with instructions contained in the Notice of Meeting. Proxy forms can be downloaded from https://www.manukaresources.com.au/site/meeting . If you are planning to attend the Meeting online, you are still encouraged lodge questions prior to the Meeting by email to admin@manukaresources.com.au.
