Cleansing Notice

Pursuant to Paragraph 708A(5)(e) of the Corporations Act 2001 (Act).

Manuka Resources Limited (ASX: MKR) ( Company ) provides this cleansing notice following the issue of 31,000,000 fully paid ordinary shares in the Company; pursuant to the capital raise announced on 29 November 2024.

The Act restricts the on-sale of securities issued without disclosure unless the sale is exempt under section 708 or 708A of the Act. By giving this Notice, a sale of the above issued fully paid ordinary shares will fall within an exemption in section 708A(5) of the Act.

The Company hereby notifies the ASX under paragraph 708A(5)(e) of the Act, that:

• the Company issued the Shares the subject of this Notice to certain “exempt” investors without disclosure under Part 6D.2 of the Corporations Act;

• as at the date of this notice, the Company has complied with:

  • the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and

  • section 674 of the Corporations Act.

• there is no “excluded information” (as that term is defined in and qualified by section 708A(7) and section 708A(8) of the Corporations Act, respectively) which would otherwise be required to be set out in this notice by section 708A(6)(e) of the Corporations Act.

The contents and release of this notice have been authorised by the Board of Directors of Manuka Resources Ltd.
