Item 8.01. Other Event.

On August 14, 2020, Mannatech, Incorporated (the "Company") issued a press release announcing that its Board of Directors approved a share repurchase program to acquire up to $1.0 million of the Company's outstanding common stock beginning on August 17, 2020 and ending on the earlier of (i) August 16, 2021 or (ii) the purchase of common stock having an aggregate purchase price of $1.0 million. A copy of the press release is furnished as Exhibit 99.1 to this report and shall not be deemed "filed" for any purpose.
