Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 5, 2012, Mannatech, Incorporated (the “Company”) announced changes to its Senior Executive Office. Dr. Robert A. Sinnott has been named CEO, B. Keith Clark has been named Chief Operating Officer and Al Bala has been named Executive Vice President, Sales and Marketing. These three executives make up Mannatech’s Senior Executive Office.

A copy of the Company’s press release announcing the promotions is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference into this Item 5.02.
