On November 12, 2008, Mannatech, Incorporated (“Mannatech”) issued a press release announcing that Terence L. O’Day will resign from his position as Chief Operating Officer and Executive Vice President of Global Operations effective November 30, 2008.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.02.
