Item 1.01. Entry into a Material Definitive Agreement.

On August 28, 2007, Mannatech, Incorporated (“Mannatech”) entered into an Amendment to Employment Agreement, effective August 31, 2007, by and between Mannatech and Rob Sinnott, Ph.D., Mannatech’s Chief Science Officer and Vice President of Research and Development (the “Amendment”). The Amendment amends the Employment Agreement, dated August 31, 2005, by and between Mannatech and Mr. Sinnott, to extend the term of the agreement through October 31, 2007. All other terms and conditions of the employment agreement remain in full force and effect. A copy of the Amendment is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 1.01.
