F1: In 2005, Mr. Robbins pledged 1.4 million shares of Mannatech common stock as collateral for a loan. The lender has since been placed under receivership as a result of an action filed by the Securities and Exchange Commission against the lender for allegedly fraudulently liquidating stock pledged by borrowers such as Mr. Robbins. On August 22, 2011, the court in the proceeding issued an order approving certain claims made by the receiver. Accordingly, this Form 4 is being filed to report that Mr. Robbins is no longer deemed to own the pledged shares in accordance with the court order.
