Item 2.02 Results of Operations and Financial Condition.

On August 8, 2008, Mannatech, Incorporated held a conference call to discuss its financial results for the quarter ended June 30, 2008 and made the call available to the public by webcast. The transcript of the conference call is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference into this item 2.02.
