Subject: Intimation for sale of equity shares of the Mankind Pharma Limited by Promoter and Promoter Group members for achieving Minimum Public Shareholding.

This is with reference to our earlier intimation dated February 7, 2024, we wish to inform you that Mr. Sheetal Arora, Mr. Arjun Juneja and Mrs. Puja Juneja, Promoter and Promoter Group members of Mankind Pharma Limited (the “Company”), informed the Company that they have sold 18,17,070; 24,01,128 and 22,71,336 equity shares respectively aggregating to 64,89,534 equity shares of the Company having face value of ₹ 1 each (representing 1.62 % of the total issued and paid-up equity share capital of the Company) on February 8, 2024, in accordance with SEBI Circular No. SEBI/HO/CFD/PoD2/P/CIR/2023/18 dated February 3, 2023 to achieve the Minimum Public Shareholding requirements.

With the aforementioned sale of shares, the shareholding of the Promoter and Promoter Group members in the Company has reduced from 76.50% of the paid-up equity share capital of the Company to 74.88% of the paid-up equity share capital of the Company. Accordingly, the Company has achieved the Minimum Public Shareholding requirements, as mandated under rules 19(2)(b) and 19A of the Securities Contracts (Regulation) Rules 1957, read with Regulation 38 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
